UBC Express Spin-Off License Agreement & Guide

For the creation of researcher led spin-off companies, our express licensing program aims to ease the negotiation process and encourage more researchers to form spin-off companies based on their innovative research. 

Our simplified agreement format and terms are designed to help accelerate the formation of spin-off companies. With our express licensing program, spin-off companies will be provided an informed, fair and benchmarked license agreement upon which to base their venture. The terms of the UBC Express Spin-off License Agreement were developed through extensive community consultation and have been vetted by investors, law firms, entrepreneurs, and members of the UBC research community.  

UBC Express Spin-off License Agreements are standardized, non-negotiable license agreements for UBC spin-off companies that want to commercialize university-developed technology. They provide: 

  • Exclusive rights to use and sublicense UBC technology for commercial purposes.
  • A transparent, fair and predefined financial structure to simplify negotiations.
  • A balanced framework that protects UBC’s academic mission while supporting industry success. 

UBC Express Spin-off License Agreements are non-negotiable to accelerate the licensing process. Unlike traditional licenses that require extensive negotiations, this approach: 

  • Reduces transaction costs and legal fees for UBC spin-off companies
  • Ensures all UBC spin-offs receive the same fair terms, fostering consistency. 
  • Provides immediate clarity on financial obligations and commercialization expectations.

Eligibility

  • The UBC Express Spin-off License Agreements are available to new spin-off companies founded by university researchers to specifically commercialize intellectual property developed at UBC.
  • The intellectual property being licensed must have been disclosed to Innovation UBC via an invention disclosure.
  • The rights to the intellectual property must be available for licensing by UBC, and not subject to any third-party ownership or licensing rights, nor be the subject of active licensing negotiations with a third-party.
  • The spin-off company must be incorporated in Canada.
  • The founders must provide Innovation UBC with an acceptable business plan, describing at a minimum the founding cap-table and the company’s plan to advance the technology and raise sufficient capital. The spin-off company’s engagement with Innovation UBC’s Venture Founder program may be sufficient.
